Atlasnote Terms of Service

Welcome to Atlasnote. These Terms of Service ("Terms") govern your access to and use of the Atlasnote application, website, and services (collectively, the "Service"). Please read these Terms carefully before using the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.


1. Acceptance of Terms

1.1 Agreement

By creating an account, downloading the application, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

1.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

2. Description of Service

2.1 Service Overview

Atlasnote is a local-first personal knowledge management application that enables users to:

  • Collect and organize content from various sources (web articles, PDFs, e-books, videos, audio, and text)
  • Read, annotate, and highlight digital content
  • Generate AI-powered summaries, translations, mind maps, presentations, and other artifacts
  • Convert text content to audio for listening
  • Create and manage documents and projects
  • Engage in AI-assisted conversations about their content

2.2 Local-First Desktop Application

The Service is provided as a desktop application for macOS and Windows. All your data is stored locally on your device. Key characteristics:

  • Your content, notes, and artifacts are saved on your local file system
  • The application works offline for most features
  • We do not have access to your personal content
  • You are responsible for backing up your local data

2.3 AI Features

The Service includes AI-powered features ("Atlas AI") that require API keys from third-party AI providers (such as OpenAI, Google, Anthropic, DeepSeek, and others).

Important:

  • You are responsible for obtaining and configuring your own API keys
  • When you use AI features, your content is sent directly from your device to the AI provider
  • We do not route, access, or store the content you send to AI providers
  • You must comply with the terms of service of those third-party providers
  • AI features are optional; the app functions without them

3. Account Registration

3.1 Eligibility

You must be at least 16 years old to use the Service. If you are between 16 and 18 years old, you represent that you have obtained parental or guardian consent to use the Service.

3.2 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account

3.3 Invite Codes

Access to the Service may require an invite code. Invite codes are personal and non-transferable. We reserve the right to revoke invite codes at any time for any reason.

3.4 Account Responsibility

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.


4. User Content

4.1 Your Content

"User Content" refers to any content you upload, import, create, or store using the Service, including but not limited to articles, documents, PDFs, highlights, notes, annotations, and generated artifacts.

4.2 Ownership

You retain all ownership rights in your User Content. We do not claim any ownership rights over your User Content.

4.3 License to Atlasnote

By using the Service, you grant Atlasnote a limited, non-exclusive, royalty-free license to access, process, and display your User Content solely for the purpose of providing and improving the Service. This license includes the right to:

  • Store and retrieve your content
  • Process your content through AI services to generate summaries, translations, and other artifacts
  • Create backups and copies for service reliability
  • Display your content back to you within the Service

4.4 Content Responsibility

You are solely responsible for your User Content and the consequences of uploading or publishing it. You represent and warrant that:

  • You own or have the necessary rights to use and authorize the use of your User Content
  • Your User Content does not infringe any third party's intellectual property rights, privacy rights, or other rights
  • Your User Content complies with all applicable laws and these Terms

4.5 Local Storage

Your User Content is stored locally on your device. We do not have access to your locally stored content.

  • You are solely responsible for maintaining backups of your local data
  • We are not responsible for any loss of locally stored data due to hardware failure, accidental deletion, or any other cause
  • We recommend regular backups to external storage or cloud backup services of your choice

4.6 Data Portability

You may export your data at any time using the export features provided in the application. Your data belongs to you, and you are free to move it as you wish.


5. Prohibited Conduct

You agree not to:

5.1 Illegal Activities

  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations
  • Upload, share, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable

5.2 Intellectual Property Violations

  • Upload content that infringes any patent, trademark, trade secret, copyright, or other intellectual property rights of any party
  • Circumvent, disable, or interfere with any content protection mechanisms

5.3 Service Interference

  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use any robot, spider, scraper, or other automated means to access the Service without our express written permission
  • Reverse engineer, decompile, or disassemble any portion of the Service

5.4 Harmful Conduct

  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Engage in any activity that could harm minors
  • Collect or harvest any personal information from other users
  • Distribute viruses, malware, or any other harmful code

5.5 API Abuse

  • Use AI features in ways that violate the terms of service of third-party AI providers
  • Attempt to circumvent any rate limits or usage restrictions
  • Use the Service to generate content that violates third-party AI providers' acceptable use policies

6. Intellectual Property

6.1 Atlasnote Property

The Service, including its original content, features, functionality, design, and underlying technology, is owned by Atlasnote and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Restrictions

You may not:

  • Copy, modify, or create derivative works based on the Service
  • Distribute, publicly display, or publicly perform the Service
  • Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service
  • Remove any copyright, trademark, or other proprietary notices from the Service

6.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

6.4 Copyright Complaints

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please contact us at: [email protected] with the following information:

  • A description of the copyrighted work claimed to have been infringed
  • A description of where the allegedly infringing material is located on the Service
  • Your contact information
  • A statement that you have a good faith belief that the use is not authorized
  • A statement that the information in your notice is accurate
  • Your physical or electronic signature

7. Third-Party Services

7.1 AI Service Providers

The Service integrates with third-party AI providers (including but not limited to OpenAI, Google Gemini, Anthropic Claude, DeepSeek, Zhipu GLM, Moonshot KIMI, and others) to power AI features.

Important: When you use AI features:

  • Your content is sent directly from your device to the third-party AI provider
  • We do not route, intercept, or store your AI requests or responses
  • Your use is subject to the terms of service and privacy policies of those providers
  • Some providers may use your data to train their models (review their policies)

7.2 API Keys

You are responsible for:

  • Obtaining valid API keys from third-party AI providers
  • Complying with the terms of service and usage policies of those providers
  • Any charges incurred from your use of third-party AI services
  • Keeping your API keys secure and confidential (stored locally on your device)
  • Understanding the data practices of your chosen AI providers

7.3 No AI Usage Without Your Configuration

AI features are entirely optional. If you do not configure API keys:

  • No AI features will be available
  • No content will be sent to any AI providers
  • The application functions as a fully offline tool

7.4 Third-Party Content

The Service may allow you to import content from third-party sources (websites, files, etc.). You are responsible for ensuring you have the right to import and use such content. We are not responsible for the accuracy, legality, or appropriateness of any third-party content.

7.5 Third-Party Links

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.


8. Payment and Subscription

8.1 Pricing

Access to certain features of the Service may require a paid subscription. Current pricing and subscription options are available on our website. We reserve the right to modify our pricing at any time with reasonable notice.

8.2 Payment Processing

Payments are processed through third-party payment processors (such as Stripe). By making a payment, you agree to the terms of service and privacy policies of those payment processors.

8.3 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew unless you cancel it before the renewal date.

8.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation will take effect at the end of your current billing period.

8.5 Refunds

Payments are generally non-refundable except as required by law. We may, at our sole discretion, provide refunds or credits in certain circumstances.

8.6 Free Trial

We may offer free trials of paid features. At the end of a free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.


9. Privacy and Data

9.1 Privacy Policy

Your privacy is important to us. Please review our Privacy Policy to understand how we handle your information.

9.2 Local-First Data

Atlasnote is a local-first application:

  • All your content is stored on your device
  • We do not collect, access, or store your personal content
  • We cannot read your notes, highlights, documents, or any saved content
  • Your knowledge library is completely private to you

9.3 Minimal Data Collection

We only collect:

  • Account information (email) if you create an account for license activation
  • License verification data (license key, anonymized device ID)
  • Crash reports if you opt in to this feature

We do NOT collect:

  • Your content, notes, or any imported materials
  • Usage analytics or telemetry
  • Reading habits or behavior data

9.4 AI Data Processing

When using AI features, your content is sent directly to third-party AI providers. We do not see, intercept, or store this data. Review the privacy policies of your chosen AI providers.

9.5 Data Portability

You may export your data at any time. Since your data is stored locally, you already have full access to it.


10. Disclaimer of Warranties

10.1 "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 No Guarantee

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED
  • THE AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE

10.3 AI Content Disclaimer

AI-generated content (including summaries, translations, mind maps, presentations, and other artifacts) is provided for informational purposes only.

Important:

  • AI-generated content may contain errors, inaccuracies, or hallucinations
  • You should independently verify the accuracy of any AI-generated content before relying on it
  • We are not responsible for any errors, omissions, or inaccuracies in AI-generated content
  • AI translations are machine-generated and may not capture nuances or context
  • We do not control the AI models; they are provided by third-party services you configure

10.4 Local Data Disclaimer

Since your data is stored locally:

  • We cannot recover lost or corrupted data
  • We are not responsible for data loss due to hardware failure, software bugs, or user error
  • You are solely responsible for maintaining backups of your important data

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATLASNOTE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT
  • DAMAGES RESULTING FROM ANY INTERRUPTION OR CESSATION OF THE SERVICE
  • DAMAGES RESULTING FROM ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE
  • DAMAGES RESULTING FROM ANY THIRD-PARTY CONTENT OR SERVICES

11.2 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11.3 Essential Purpose

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND ATLASNOTE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.


12. Indemnification

You agree to indemnify, defend, and hold harmless Atlasnote, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of any third party
  • Your violation of any applicable laws or regulations

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at [email protected] or through your account settings.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Conduct that we believe is harmful to other users, us, or third parties
  • Extended periods of inactivity
  • Request by law enforcement or government agencies

13.3 Effect of Termination

Upon termination:

  • Your license to use the Service will immediately cease
  • We will delete your account information from our servers (if you have an account)
  • Your locally stored data remains on your device - we cannot delete it
  • All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

13.4 Your Data After Termination

Since Atlasnote is a local-first application:

  • All your content, notes, and artifacts remain on your device after termination
  • You retain full access to your locally stored data
  • You can continue to access your data files even without the application
  • You are responsible for managing or deleting this data as you see fit
  • We have no ability to access or delete your local data

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at [email protected] to attempt to resolve any dispute informally. We will attempt to resolve the dispute within 30 days.

14.2 Binding Arbitration

If we are unable to resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of a mutually agreed-upon arbitration body. The arbitration shall be conducted in English.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this provision is found to be unenforceable, then the entirety of this arbitration section shall be null and void.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.


15. General Provisions

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Atlasnote is incorporated, without regard to its conflict of law provisions.

15.2 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Atlasnote regarding the Service.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms.

15.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Atlasnote.

15.7 Notices

We may provide notices to you via email, through the Service, or by posting on our website. You may provide notices to us by contacting [email protected].

15.8 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
